Company Formation

KEMA provides company registration services and company secretarial services in Sri Lanka. We can offer a comprehensive formation package for conveniently registering your limited company that entitles you to complete trading abilities and official documentation, along with a host of other necessary tools to successfully start your enterprise.

Step 01 – Name Approval (2 to 3 working days)

Firstly, we suggest that you take your time and carefully choose a name for your company that is relevant and suitable. This name should be capable of prominently differentiating your business from your competitors, who provide similar goods and/or services. We shall then undergo a name search at the Registrar Of Company and ensure that they approve for progressing further with your company’s registration process.

Step 02 – incorporation of a company (3 to 5 working days)

This includes:

  • Company Name,
  • Address,
  • Details of director(s), shareholders and secretaries.

Once your company name has been approved, we will prepare the Articles of Association for your requirements. This includes:

Form 01: Directors’/shareholders’ full names, company registered address and secretary full name,
Form 18: Director/shareholder consent (multiply by number of directors/shareholders),
Form 19: Secretary consent.

Once these documents are prepared, we shall show them to you for checking, verifying and signing. After that, we’ll submit them to the Registrar of Companies for the company formation process. This usually takes 3 to 5 working days, and after that a certificate of company registration shall be issued to you.

Step 03 -Embossed Seal (2 working days)

Step04 -Paper advertisements (3 languages)

Paper advertisements in 3 different languages can be provided.

Step05 -Gazette Notification (English Only)

In legal terms, you will be required to perform the 5 steps as mentioned above within 30 days from the date of registration. KEMA shall guarantee to process these tasks within 14 days. Next, we’ll notify the same to the Registrar of Companies within 30 days (it is a must to notify these within 60 days of registration documentation, though).

Step 06 -Issue of shares (form 6)
